Following terms and conditions (“Terms”) govern your use of the Understand Labs website understandhq.com and all the content, products and services available through it (collectively referred to as “Website”). The Website is owned and operated by Understand Labs s.r.o. (“Understand Labs”, “we”, “us” or “our”).

Please read these Terms very carefully prior to accessing the Website. By accessing the Website you agree to abide by these Terms and to comply with all applicable laws and regulations.

If you do not agree with these Terms, you are prohibited from using or accessing this Website.

The Website is available only to individuals who are at least 13 years old.

Your account

By creating an account on this Website, you agree to take full responsibility for keeping it secure and for all the activities performed under this account.

You must immediately notify us in the event of your account being compromised.

Understand Labs will not be liable for any harm that may result from the compromise of your account.

Responsible use

By using this Website, you warrant that you will not:

  1. Copy or reverse engineer any software contained on this Website.
  2. Attempt to access unauthorized and non-public content.
  3. Attempt to gain unauthorized access to user accounts.
  4. Take actions that impact the accessibility, performance, or stability of this Website.
  5. Damage, disable or overburden our servers or network.
  6. Send unauthorized messages or emails (spam).
  7. Use this Website in violation of any applicable laws or regulations.
  8. Impersonate someone else or share your user account with someone else.

Understand Labs reserves the right, in its sole discretion, to terminate accounts that we believe are or might be in violation of these conditions.

Responsible contribution

You acknowledge that whenever you contribute data, datasets, text, images, links, or any other digital content (collectively referred to as“Content”), you take full responsibility for it and any harm it may cause. You agree to hold Understand Labs harmless in any claims, civil or criminal, resulting from the posting of this Content.

You further acknowledge that it is prohibited to:

  1. Publish harassing, indecent, obscene, or unlawful content.
  2. Infringe upon the privacy, intellectual property rights, or other rights of third parties.
  3. Publish spam or unwanted commercial content.
  4. Intentionally publish errors, misleading, faulty or fake information.
  5. Create content intended to cause harm or commit fraud.

Understand Labs reserves the right, in its sole discretion, to remove any content that we believe violates or might violate these conditions.

Responsible Viewing

You acknowledge that it is not within Understand Labs capacity to review all content posted to the Website, and that you may encounter content that may contain:

  1. Content violating intellectual property or other rights of third parties.
  2. Content violating confidentiality or privacy of third parties.
  3. Errors, misleading, faulty, or fake information.
  4. Harassing, indecent, obscene, or unlawful content.
  5. Malicious, fraudulent, or harmful content.

Understand Labs will not be liable for any harm that may result from your use or viewing of such content.

Fees

The limited functionality of the Website is provided under a Free tier at no fee. Advanced functionality of the Website is provided on a subscription basis, with fees calculated based on the total number of editor seats, selected add-ons, and subscription period as stated in the Pricing section of our Website.

A valid credit card is required to subscribe to the Website, and you authorize Understand Labs to charge such fees using your selected payment method. The subscription begins when you pay for the service. All fees are billed in advance.

You can purchase additional editor seats at any time. In such cases, you will be billed on a pro rata basis for the remaining period of your subscription during the next payment cycle.

If you wish to decrease the number of purchased seats, please contact us at support@understandlabs.com. No credit will be issued if you use fewer than the purchased number of seats.

You can cancel the subscription at any time in the Billing section of the Website. In such a case, the already paid fee is not refunded. You can continue using the Website until the end of the subscription period. At the end of the subscription period, your account will be downgraded to the Free tier.

You agree that the subscription will be automatically renewed when your subscription period ends. You hereby authorize Understand Labs to automatically charge you the applicable fees unless the subscription has been canceled.

All payments are exclusive of any taxes, duties, tariffs, levies, and withholdings, and you agree to be responsible for the payment of all such charges. Should any payment for the Website be subject to withholding tax by any government, you will reimburse us for such withholding tax.

We may offer new users a limited free trial of the Website, subject to these Terms. We reserve the right to terminate a free trial at any time and for any reason.

If you fail to make payments under these Terms, we reserve the right to immediately downgrade your subscription to the Free tier, which may lead to loss of some functionality and suspension of access for some users.

Intelectual property

Acceptance of these Terms does not transfer any Understand Labs or third-party intellectual property from Understand Labs to you. Understand Labs, its logo, and service marks are trademarks or registered trademarks of Understand Labs. Any other logos or service marks used in connection with the Website may be trademarks or registered trademarks of third parties. Using this Website does not grant you any rights or a license to use or reproduce Understand Labs' or third parties' trademarks.

Your content

Understand Labs acknowledges that you are the sole owner of the content published on the Website and any associated intellectual property. We will never claim ownership of your content, but we do require a license from you to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

Your marks

You grant to us the right to use your name and logo in our online customer list and in print and electronic marketing materials. The right to use your name and logo may be revoked by writing to support@understandlabs.com.

Warranties disclaimer

OUR WEBSITE AND THE MATERIALS ON OUR WEBSITE ARE PROVIDED ON AN 'AS IS' BASIS. TO THE EXTENT PERMITTED BY LAW, UNDERSTAND LABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR OTHER VIOLATION OF RIGHTS.

Limitations of liability

In no event shall Understand Labs or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Understand Labs or an authorized representative has been notified, either orally or in writing, of the possibility of such damage.

IN THE CONTEXT OF THIS AGREEMENT, "CONSEQUENTIAL LOSS" INCLUDES ANY CONSEQUENTIAL LOSS, INDIRECT LOSS, REAL OR ANTICIPATED LOSS OF PROFIT, LOSS OF BENEFIT, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF OPPORTUNITY, LOSS OF SAVINGS, LOSS OF REPUTATION, LOSS OF USE, AND/OR LOSS OR CORRUPTION OF DATA, WHETHER UNDER STATUTE, CONTRACT, EQUITY, TORT (INCLUDING NEGLIGENCE), INDEMNITY, OR OTHERWISE.

Because some jurisdictions do not allow limitations on implied warranties or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Termination

You may delete your account or stop using this Website at any time. We may terminate your account at any time, with or without cause, with or without notice, effective immediately. All provisions of this Agreement which by their nature should survive termination shall do so, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

The user agrees to indemnify and hold harmless Understand Labs, including its agents, affiliated companies, employees, contractors, directors, and officers, as well as anyone involved in creating or providing the Website and related services, from all claims or causes of action, liabilities, damages, costs, fines, penalties, and expenses (including attorneys' fees) arising from or related to the use or misuse of the Website, violation of these Terms, or violations of any rights of a third party.

Changes

We reserve the right to review and amend any of these Terms at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms will take effect immediately upon publication.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Czech Republic. You irrevocably submit to the exclusive jurisdiction of the courts in that location.
